Senior Corporate Counsel, Commercial Contracts

About the Role
As CargoGuard signs enterprise brokers, national shippers, insurers, and technology partners, every agreement shapes how we grow. As Senior Corporate Counsel for Commercial Contracts, you will own the deal desk that powers our revenue, negotiating complex agreements quickly while protecting the company.
What You Will Do
- Draft and negotiate enterprise SaaS agreements, MSAs, DPAs, SLAs, and order forms
- Structure partnership, reseller, integration, and data-sharing agreements
- Negotiate vendor and procurement agreements for infrastructure and data providers
- Build contract templates, playbooks, and approval workflows that let sales move fast
- Advise on liability, indemnification, and insurance allocation in freight security deals
- Train sales and customer success teams on contract fundamentals
What We Require
- J.D. from an accredited law school and active membership in good standing with at least one U.S. state bar
- 8+ years of commercial transactions experience, with training at a leading law firm and 3+ years in-house at a technology company
- Extensive experience negotiating high-value enterprise SaaS and data licensing agreements
- Strong working knowledge of data privacy and security contract terms
- Proven ability to manage high deal volume without sacrificing quality
- Pragmatic, business-minded judgment and excellent negotiation skills
- Experience building scalable contracting processes and tools
What Sets You Apart
- Experience with transportation, logistics, or cargo insurance contracts
- Familiarity with contract lifecycle management platforms
- Public sector or government contracting experience
